Terms of Service

Welcome to Lita! These Terms of Use (the "Terms") are a binding contract between you and Battuta technology pte. Ltd., with offices at 8 burn road #04-04 Trivex, Singapore ("Lita," "Platform," "we," and "us"). Your use of the Services in any way means that you agree to all of these Terms, and these Terms will remain in effect while you use the Services.
1. Our Services
In order to fulfill our mission to create a social gaming community where you can connect, chat and play together, we offer the following services: Connect you with like-minded people: We help you find and connect with people across Our Services. We use the data that we have to make suggestions for you and others – for example, people with whom you may want to play games. We believe that authentic connections are essential for a positive community to thrive.
Buy and sell relevant peer-to-peer services We allow registered users to buy and sell relevant peer-to-peer services, through Our Services. We categorize all registered users as either those who are able to offer services ("Seller") or those who are unable to offer services ("Gamers or Buyers").
These peer-to-peer services and the interactions between Lita and Gamers are governed by these Terms as set out in Section 5.
Our Services provide a number of routes to express yourself, for example, via your in-service username, bio, and through the in-service chat functionality. However, we prohibit expression where we believe it threatens the safety of other users or the public, including but not limited to intimidation, threats, abuse, harassment, derogatory language, misrepresentation, and behavior or content that threatens the privacy of personal information.
2. Limitation to the Use of Our Services
You may use our Service only if you are eighteen (18) years of age or older, can legally form a binding contract with Lita, and are only in compliance with these Terms and all applicable laws. When you create your account, you must provide us with accurate and complete information. You cannot use our Service if it would cause Lita to violate Singapore sanctions, and by agreeing to these Terms, you represent to us that you are not a sanctioned party, in a sanctioned country, or otherwise subject to Singapore sanctions.
Any use or access by anyone under the age of eighteen (18) is strictly prohibited, and we assume no liability for any use of our site by any such person. Part of our Service may include software that is downloaded to your computer, phone, tablet, or another device. You agree that we may, from time to time, update that software and these Terms will apply to any updates.
Our Services are also not available to any Users who are previously removed from any of Our Services, or to any persons barred from using our services under the laws of Singapore or applicable laws in any other jurisdictions.
3. Your Account
You will be asked to provide us with certain information, including an email address, your date of birth, username, and password. You are solely responsible for maintaining the confidentiality of your account, your password, and for restricting access to your devices.
If you permit others to use your account, you agree to these Terms on their behalf, and you are responsible for all activities that occur under or to your account. Please make sure the information you provide us upon registration and at all other times is true, accurate, current, and complete to the best of your knowledge. Unless expressly permitted in writing by Lita, you may not sell, rent, lease, share or provide access to your account to anyone else, including, without limitation, charging anyone for access to your account. Lita reserves all available legal rights and remedies to prevent unauthorized use of Our Services, including, but not limited to, technological barriers, IP mapping, and, in serious cases, directly contacting your Internet Service Provider (ISP) regarding such unauthorized use.
4. Third-Party Accounts
We may permit you to register and log on to Our Services via certain third-party services. The third party's collection, use, and disclosure of your information will be subject to that third-party service's privacy notice. Further information about how We collect, use, and disclose your personal information, as well as information on how you can manage your online privacy when using Our Services, can be found in our Privacy Policy.
Use of Devices and Services Access to Our Services may require the use of your personal computer or mobile device, as well as communications with or use of space on such devices. You are responsible for any Internet connection or mobile fees and charges that you incur when accessing Our Services.
5. Buying and Selling Peer-to-peer Services
In order to offer peer-to-peer services via Our Services, registered users must apply to become a Seller. Applications to become a Seller are free but are not available to users under the age of 18. Registered users who are unable to offer peer-to-peer services via Our Services are classified within Our Services as Gamers. Gamers are able to request and buy peer-to-peer services provided they are at least 18 years of age ("Buyers").
Order creation: Buyers pay Us in advance to create an order. Orders are purchased through the "Order Now" button found on Seller's Game profiles. All orders created by Buyers are subject to 20%-30% transaction and administration fees that are charged by Lita vary from country to country.
Order acceptance and fulfillment: Once an order is created, the Seller may choose to accept or decline the order. If an order is accepted, once it is completed, the Seller must confirm completion of the order via the Order Complete button on the Orders tab of their Account Hub. Regularly canceling orders may affect a Seller's reputation and status on Lita. If an order is canceled (for any reason), the funds paid will be returned to the Buyer's account wallet. Once orders have been confirmed as completed by a Seller, the Buyer will have 48 hours to dispute the completed status. Where We deem that orders have not been completed, payment will be returned to the Buyer and not remitted to the Seller. Orders that are sold and successfully completed by a Seller will result in a net revenue of 70%-80% of the purchase amount of the order being credited to the Sellers account wallet.
Withdrawal of funds is only made available once an order is marked as complete. For security concerns, we may temporarily disable a user's ability to withdraw revenue to prevent fraudulent or illicit activity. This may come as a result of security issues, improper behavior reported by other users, or associating multiple user accounts to a single withdrawal provider. Sellers with accounts in good standing may, at Our sole discretion, be offered expedited withdrawal of funds before the standard 7 days safety clearance period.
Sellers are responsible for paying any direct or indirect taxes, including any GST, VAT or otherwise, which may apply to them depending on their residencies or locations. Sellers represent and warrant that they comply, and will comply at all times, with their obligations under income tax provisions in their jurisdiction. The prices advertised to Buyers on Our Services are inclusive of all such taxes and charges that may apply to the Sellers.
Limited authorized payment collection agent Lita is hereby appointed as a limited authorized payment collection agent solely for the purpose of accepting payments (via its Payment Services Provider, if applicable) from Buyers, and remitting those payments to Sellers.
By using Our Services, the Seller agrees that payment from the Buyer to Us shall be considered the same as payment made directly to the Seller, and We are entitled to take 20%-30% of revenue from the Buyer as transaction and administration fees vary from country to country. A Buyer's payment obligation to the Seller will be satisfied upon receipt of payment by Us (or Our Payment Services Provider, as applicable), and We (via its Payment Services Provider, as applicable) are responsible for remitting the funds to the Seller in the manner described in these Terms. In the event that We (via Payment Services Provider) do not remit any such amounts to the Seller, they will have recourse only against Us and not the Buyer directly. Sellers agree that We may describe or otherwise reflect the terms contained herein in any Terms of Service, receipts, disclosures, or notices, including, but not limited to, receipts provided to Buyers that We may deem necessary or prudent.
Other considerations Lita partners with Payment Services Providers for purposes of collecting payments from Buyers, transferring such payments from Buyers to Sellers, and holding funds in connection with Digital Wallet Balances. All payments services in connection with the withdrawal of funds from Our Services are performed by Our Payment Services Providers. Sellers are responsible for obtaining a general liability insurance policy with coverage amounts that are sufficient to cover all risks associated with the performance of their services.
6. Modification of These Terms
We may amend any of the terms of these Terms by posting the amended terms. Your continued use of Our Services after the effective date of the revised Terms of Service constitutes your acceptance of the terms.
7. Intellectual Property Rights
Our Services are owned and operated by Us. Unless otherwise indicated, all content, information, and other materials on Our Services (excluding User-Generated Content, set out in Section 8 below), including, without limitation, Our trademarks, logo, copyrights, patents, visual interfaces, graphics, design, creative contents, compilation, information, software, computer code (including source code or object code), services, text, pictures, information, data, sound files, other files, and the selection and arrangement thereof (collectively, the "Materials") are protected by relevant intellectual property and proprietary rights and laws.
All Materials are the property of Lita or its subsidiaries or affiliates and/or third-party licensors. Unless otherwise expressly stated in writing by Us, by agreeing to these Terms, you are granted a limited, non-transferable license to access and use Our Services for your personal use or internal business use only. Lita reserves all rights not expressly granted in these Terms of Service. This license is subject to these Terms of Service and does not permit you to engage in: i) resale or commercial use of Our Services or Materials; ii) distribution, public performance, or public display of any Materials; iii) modifying or otherwise making any derivative uses of Our Services or Materials, or any portion of them; iv) use of any data mining, robots, or similar data gathering or extraction methods; v) downloading (except page caching) of any portion of Our Services, Materials, or any information contained in them, except as expressly permitted by Us; or vi) any use of Our Services or Materials except for their intended purposes. Any use of Our Services or Materials, except as specifically authorized in these Terms, without Our prior written permission, is strictly prohibited and may violate intellectual property rights or other laws.
8. User-Generated Content
Lita may allow you to submit User-Generated Content to the Platform. By submitting User-Generated Content to the Platform, you grant Lita a non-exclusive, irrevocable, royalty-free, worldwide, and perpetual license to use your User-Generated Content for the customary and intended purposes of the Platform and any purpose related thereto, including without limitation, to reproduce, prepare derivative works, distribute copies, store, perform, display, and use any of the User-Generated Content. These purposes may include but are not limited to providing you or third parties with the Platform or its associated products and Services and archiving or making backups of the Platform. You agree to waive all rights in and to your User-Generated Content worldwide, whether you have or have not asserted rights in or to your User-Generated Content. By submitting User-Generated Content to the Platform, you further agree to waive all rights of publicity or privacy with respect to the User-Generated Content submitted.
You warrant that any User-Generated Content that you submit to the Platform will not violate the rights of third parties, including, but not limited to, trademark rights, copyright rights, and rights of publicity and privacy, or violate any applicable law, statute, ordinance, treaty, or regulation, whether local, state, provincial, national, or international. You acknowledge and agree that Lita is not responsible or liable for User-Generated Content.
You agree to indemnify and hold Lita harmless from any claims or expenses (including attorneys' fees) by any third party arising out of or in connection with Lita's use and exploitation of your User Generated Content resulting from your breach of these terms and conditions. You also agree to waive and not to enforce any moral rights, ancillary rights, or similar rights in or to the User-Generated Content against Lita or Lita's licensees, distributors, agents, representatives, and other authorized users and agree to procure the same agreement to waive and not to enforce from others who may possess such rights.
Lita reserves the right to monitor, screen, post, remove, modify, store and review User-Generated Content or communications sent through the Platform, at any time and for any reason, including to ensure that the User-Generated Content conforms to these Terms, without prior notice to you. Lita may terminate your account and access to the Platform if your User Generated Content violates these terms and conditions, including unlawful postings or content, without prior notice. Lita is not responsible for and does not endorse or guarantee the opinions, views, advice, or recommendations posted or sent by users.
Lita reserves the right but has no obligation to remove any information or content that (i) in the Lita's opinion violates, or may violate, any applicable law or these terms of use and incorporated policies; or (ii) upon the request of any third party that alleges that the User-Generated Content infringes the third party's rights.
Lita reserves the right but has no obligation to report to law enforcement any Personal Information or User-Generated Content at any time and for whatever reason, at its sole and absolute discretion.
9. Prohibited Conduct
YOU AGREE NOT TO violate any laws, contracts, intellectual property, or other third-party rights, not to commit torts, and that you are solely responsible for your conduct while accessing or using Our Services. You agree that you will comply with these Terms of Service and Our Community Guidelines and will not:
- Systematically retrieve data or other content from Our Services to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from Us.
- Trick, defraud, or mislead Us or other users, especially in any attempt to learn sensitive account information such as user passwords.
- Circumvent, disable, or otherwise interfere with security-related features of Our Services, including features that prevent or restrict the use or copying of any Material or User-Generated Content or enforce limitations on the use of Our Services and/or the Material or User-Generated Content contained therein.
- Disparage, tarnish, or otherwise harm, in Our opinion, Us, and/or Our Services.
- Use Our Services, or any information obtained from Our Services in order to defame, harass, abuse, or harm another user.
- Make improper use of Our support services or submit false reports of abuse or misconduct.
- Use Our Services in a manner inconsistent with any applicable laws or regulations.
- Engage in unauthorized framing of or linking to Our Services. ix) Upload or transmit (or attempt to upload or to transmit) viruses, Trojan horses, or other material, including excessive use of capital letters and spamming (continuous posting of repetitive text), that interferes with any party's uninterrupted use and enjoyment of Our Services or modifies, impairs, disrupts, alters, or interferes with the use, features, functions, operation, or maintenance of Our Services.
- Engage in any automated use of the system, such as using scripts to send comments or messages, or using any data mining, robots, or similar data gathering and extraction tools.
- Delete the copyright or other proprietary rights notice from any Material of User-Generated Content.
- Attempt to impersonate another user or person or use the username of another user.
- Sell or otherwise transfer your profile.
- Upload or transmit (or attempt to upload or to transmit) any material that acts as a passive or active information collection or transmission mechanism, including without limitation, clear graphics interchange formats ("gifs"), 1×1 pixels, web bugs, cookies, or other similar devices (sometimes referred to as "spyware" or "passive collection mechanisms" or "pcms").
- Interfere with, disrupt, or create an undue burden on Our Services or the networks or services connected to Our Services.
- Harass, annoy, intimidate, or threaten any of our employees or agents engaged in providing any portion of Our Services to you.
- Attempt to bypass any measures of Our Services designed to prevent or restrict access to Our Services, or any portion of Our Services.
- Copy or adapt Our Services' software, including but not limited to Flash, PHP, HTML, JavaScript, or other code.
- Decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of Our Services.
- Except as may be the result of standard search engine or Internet browser usage, use, launch, develop, or distribute any automated system, including without limitation, any spider, robot, cheat utility, scraper, or offline reader that accesses Our Services, or using or launching any unauthorized script or other software.
- Use a buying agent or purchasing agent to make purchases on Our Services.
- Make any unauthorized use of Our Services, including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited emails, or creating user accounts by automated means or under false pretenses.
- Use Our Services as part of any effort to compete with us or otherwise use Our Services and/or the Content for any revenue-generating endeavor or commercial enterprise.
To the extent permitted by applicable law, we take no responsibility and assume no liability for any User-Generated Content or for any loss or damage resulting therefrom, nor are We liable for any mistakes, defamation, slander, libel, omissions, falsehoods, obscenity, pornography, or profanity you may encounter when using Our Services. Your use of Our Services is at your own risk. In addition, these rules do not create any private right of action on the part of any third party or any reasonable expectation that Our Services will not contain any content that is prohibited by such rules. We are not liable for any statements or representations included in User-Generated Content. We do not endorse any User-Generated Content, opinion, recommendation, or advice expressed therein, and We expressly disclaim any and all liability in connection with User-Generated Content. To the fullest extent permitted by applicable law, We reserve the right to remove, screen, or edit any User-Generated Content posted or stored on the Lita Services at any time and without notice, including where such User-Generated Content violates these Terms of Service or applicable law, and you are solely responsible for creating backup copies of and replacing any User-Generated Content you post or store on Our Services at your sole cost and expense. Any use of Our Services in violation of the foregoing violates these Terms of Service and may result in, among other things, termination or suspension of your rights to use Our Services.
10. Termination
To the fullest extent permitted by applicable law, We reserve the right, without notice and at Our sole discretion, to terminate your license to use Our Services (including to post User-Generated Content) and to block or prevent your future access to and use of Our Services, including where we reasonably consider that: i) your use of Our Services violates these Terms or applicable law; ii) you fraudulently use or misuse Our Services; or iii) we are unable to continue providing Our Services to you due to technical or legitimate business reasons. Our right to terminate your license includes the ability to terminate or suspend your access to any purchased products or services, including any peer-to-peer services. To the fullest extent permitted by applicable law, your only remedy with respect to any dissatisfaction with: Our Services, any term of these Terms, any of Our policies or practices in operating Our Services, or any content or information transmitted through Our Services, is to terminate your account and to discontinue use of any and all parts of Our Services.
11. Force Majeure
In no event shall LITA be responsible or liable for any failure or delay in the Services of its obligations hereunder arising out of or caused by, directly or indirectly, forces beyond its control, including, without limitation, strikes, work stoppages, accidents, global pandemic, acts of war or terrorism, civil or military disturbances, nuclear or natural catastrophes or acts of God, and interruptions, loss or malfunctions of utilities, communications or computer (software and hardware) services; it being understood that the LITA shall use reasonable efforts which are consistent with accepted practices in the relevant industry to resume performance as soon as practicable under the circumstances.
12. Jurisdiction and Choice of Laws
You agree that our Services are located in Singapore for all legal and non-legal purposes. These Terms will be interpreted under and governed by the laws and legal principles of Singapore without regard to conflicts of laws, principles, or statutes. Any disputes arising out of or in connection with our Services shall be brought to the courts in Singapore. Singapore International Arbitration Centre Rules govern the interpretation and enforcement of this dispute-resolution provision. The arbitration will be initiated through the Singapore International Arbitration Centre ("SIAC"). If the SIAC is not available to arbitrate, the parties will select an alternative arbitral forum. The rules of the arbitral forum will govern all aspects of this arbitration, except to the extent those rules conflict with these Terms.
13. Disputes
Indemnification to the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Us, Our affiliated companies, and each of our respective contractors, employees, officers, directors, agents, third-party suppliers, licensors, and partners (individually and collectively, "Our Parties") from any claims, losses, damages, demands, expenses, costs, and liabilities, including legal fees and expenses, arising out of or related to your access, use, or misuse of Our Services, any User-Generated Content you post, store, or otherwise transmit in or through Our Services, your violation of the rights of any third party, any violation by you of these Terms, or any breach of the representations, warranties, and covenants made by you herein. You agree to promptly notify Our Parties of any third-party claim, and We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify Us, and you agree to cooperate with Our defense of these claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it.
Disclaimers; no warranties to the fullest extent permitted by applicable law: (a) our services and the content and materials contained therein are provided on an "as is" basis without warranties of any kind, either express or implied, except as expressly provided to the contrary in writing by us; (b) our parties disclaim all other warranties, statutory, express, or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement as to our services, including any information, content, or materials contained therein; (c) we do not represent or warrant that the content or materials on our services are accurate, complete, reliable, current, or error-free; (d) we are not responsible for typographical errors or omissions relating to text or photography; and (e) while we attempt to make your access and use of our services safe, we cannot and do not represent or warrant that our services or our server(s) are free of viruses or other harmful components, and therefore, you should use industry-recognized software to detect and disinfect viruses from any download. No advice or information, whether oral or written, obtained by you from us or through our services will create any warranty not expressly stated herein.
14. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Lita or its subsidiaries and affiliates be liable for any special, incidental, indirect, or consequential damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) however caused and on any legal or equitable theory of liability, and whether or not for breach of contract, negligence or otherwise, even if Lita has been advised of the possibility of such damages. These limitations will apply notwithstanding any breach of condition(s) or fundamental term(s) or for a fundamental breach(s).
15. Miscellaneous
Waiver If we fail to exercise or enforce any right or provision of these Terms, it will not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by the relevant party.
Severability If any provision of these Terms is held to be unlawful, void, or for any reason unenforceable, then that provision will be limited or eliminated from these Terms to the minimum extent necessary and will not affect the validity and enforceability of any remaining provisions.
Assignment These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Us without restriction. Any assignment attempted to be made in violation of these Terms shall be void.
Survival Upon termination of these Terms, any provision which, by its nature or express terms should survive, will survive such termination or expiration.
Entire agreement These Terms, which incorporate Our Community Guidelines, is the entire agreement between you and Us relating to the subject matter herein and will not be modified except by a writing signed by authorized representatives of both parties, or by a change to these Terms made by Us as set forth in Section 6.
16. How to contact us
For questions relating to these terms, please contact support@lita.gg. All requests for information or documents related to potential, anticipated, or current legal proceedings, investigations, or disputes must be made using the appropriate level of legal process, and must be properly served. All requests must include the information you may have that will help us identify the relevant records (particularly, the username at issue), the specific information requested, and its relationship to your investigation.
